ARTICLE I. NAME & OBJECTIVES

Section A. Name

The name of the organization shall be Hacker House YU.

Section B. Objectives

The objectives of Hacker House YU are:

  • To provide a collaborative environment for students interested in technology, cybersecurity, and software development.
  • To assist York University students in gaining hands-on experience with real-world projects in the fields of indie hacking, software development, technology and innovation.
  • To encourage creativity, skill development, and knowledge sharing among members.
  • To foster a supportive community where all members can apply their skills and learn from one another.
  • To ship cool software people love building.

ARTICLE II. INTERPRETATION

Hacker House YU shall make all determinations and interpretations with due regard to accepted rules of procedure, such as Roberts's Rules of Order. The Chair of the meeting shall be regarded as the primary source of interpretation of the Constitution, subject to an appeal by members.

ARTICLE III. MEMBERSHIP

  • Membership is open to all York University students, staff, and faculty members, subject to an interview process.
  • The President and Vice-President shall decide on the acceptance of members based on an interview to determine commitment, skill level, and suitability for the club.
  • No member shall be discriminated against based on race, gender, religion, sexual orientation, or disability.
  • A membership fee of up to ten dollars may be collected.

ARTICLE IV. MEETING PROCEDURES

  • Meetings shall be held at least twice per semester.
  • The President or Vice-President has the authority to call meetings, including special or emergency meetings.
  • Notice of meetings shall be delivered to members at least one week prior to the scheduled date.
  • The Chair shall preside over meetings, set the agenda, and conduct the proceedings.
  • All members have speaking privileges, while voting privileges are reserved for general members.
  • In the case of a tie vote, the Chair shall cast the deciding vote.

ARTICLE V. QUORUM

A quorum for voting purposes shall be reached when those present constitute at least 50% of active members.

ARTICLE VI. OFFICERS, QUALIFICATIONS, AND DUTIES

Section A. Officers

The officers of the organization shall be:

  • President
  • Vice-President
  • Chief of Operations (COO)
  • Treasurer
  • Secretary

Section B. Officer Duties

  • President: Provides overall leadership, represents the club, and oversees all club activities.
  • Vice-President: Assists the President and assumes their duties in their absence.
  • Chief of Operations (COO): Supports both the President and Vice-President, manages day-to-day operations, and ensures smooth execution of projects.
  • Treasurer: Manages the club's finances, including budgeting, record-keeping, and financial reporting.
  • Secretary: Maintains meeting minutes, membership records, and all official documentation.

Section C. Associates

Associates include:

  • Chief Returning Officer (CRO): Oversees and conducts elections.
  • Speaker (Chair): Presides over meetings and ensures fair proceedings.

ARTICLE VII. ELECTION OF OFFICERS

Section A. Term of Office

The term of office shall be one academic year, beginning on January 1st and ending on December 1st of the following year.

Section B. Nominations

Nominations shall take place one week prior to elections.

Section C. Vote Counting

Votes shall be counted by the CRO to ensure impartiality.

Section D. Installation

New officers shall assume their roles immediately following the election.

Section E. Special Elections

Special elections shall be held within two weeks of a vacancy, with all members notified in advance.

ARTICLE VIII. CONFLICT OF INTEREST

Officers and associates must avoid situations where personal interests conflict with their duties to the club. Conflict of interest occurs when an officer's personal interests may influence their decision-making.

ARTICLE IX. ALLEGATIONS OF WRONGDOING & DISCIPLINARY ACTION

In the event of allegations of wrongdoing against an officer, an impartial committee shall be formed to investigate. Disciplinary action may include censure, suspension, or removal from office based on the findings.

ARTICLE X. FINANCIAL RESPONSIBILITY

The President, Vice-President, and Treasurer are the sole signing authorities. The Treasurer shall create and maintain financial records, with the officers collectively approving the annual budget.

ARTICLE XI. DUES

Section A. Collection

Dues shall be collected from general membership at the start of each academic year.

Section B. Setting Dues

The amount shall be set by the officers and approved by a vote of the membership.

Section C. Delinquency

Delinquent membership dues must be settled within 30 days or membership may be suspended.

Section D. Inactive Organization

If the organization dissolves, any remaining funds will be donated to a charitable cause agreed upon by a majority vote.

ARTICLE XII. COMMITTEES

Standing committees shall be formed as necessary, with members appointed by the officers. Ad hoc committees may also be created for specific tasks or projects.

ARTICLE XIII. BY-LAWS AND AMENDMENTS

Section A. By-Laws

By-laws must be created by a majority vote of officers.

Section B. Amendments

Amendments to the constitution may be introduced with at least two weeks' notice and require a 1/2 majority vote of the general members to be adopted.

ARTICLE XIV. RATIFICATION

This constitution shall be enforced upon ratification by 2/3 of the voting body and approval by the Clubs Registration Committee and the Centre of Student Community & Leadership Development.
